Terms and Conditions (T&C)
1. Scope of Application
These Terms and Conditions (T&C) apply to all business relationships between Aplexio IT Solutions (hereinafter referred to as "Provider") and the customer of the website www.aplexio.com (hereinafter referred to as "Customer"). The version of the T&C in effect at the time of the contract conclusion shall apply.
2. Subject of the Contract
The Provider offers IT services, including but not limited to consulting, implementation, maintenance, and support in the areas of SAP, IT management, and process optimization. The specific scope of services is based on the descriptions provided on the website or in the individually agreed offers.
3. Conclusion of Contract
A contract is formed when the Customer requests a service from the Provider and the Provider accepts this offer either by confirming via email or by starting to provide the service. The Provider reserves the right to decline requests that do not align with their capabilities or availability.
4. Prices and Payment Terms
Prices indicated on the website or in offers are net prices, unless otherwise specified. Any applicable taxes or fees will be charged additionally. Payments are due according to the terms agreed in the offer. Unless otherwise agreed, invoices are due within 14 days from the date of issuance, without deductions.
5. Service Delivery and Delays
Service delivery will take place according to the timeframes outlined in the offer or contract. Should unforeseeable circumstances arise (e.g., technical disruptions, force majeure) that are beyond the control of the Provider, the service delivery may be delayed. The Provider will notify the Customer promptly in such cases.
6. Right of Withdrawal
Customers who are businesses as defined by § 14 of the German Civil Code (BGB) are not entitled to a statutory right of withdrawal. Consumers as defined by § 13 BGB are entitled to withdraw from the contract according to legal provisions. Consumers may withdraw from the contract within 14 days without giving reasons, provided that the services are not personalized or have not commenced.
7. Customer's Obligations to Cooperate
The Customer agrees to provide all necessary information, data, and access required for the performance of the IT services in a timely and appropriate manner. Delays caused by the Customer's failure to cooperate may result in adjustments to agreed timelines and costs.
8. Liability
The Provider is liable for intent and gross negligence. The Provider is only liable for slight negligence in cases where essential contractual obligations (cardinal obligations) are violated, the fulfillment of which is necessary for the proper performance of the contract. Liability is limited to foreseeable, contract-typical damages. Liability for lost profits or indirect damages is excluded.
9. Usage Rights
Upon full payment, the Customer is granted a simple, non-transferable right to use the work results produced under the contract. All other rights remain with the Provider unless expressly agreed otherwise.
10. Data Protection
The Provider is committed to handling the Customer’s personal data in accordance with applicable data protection laws, especially the General Data Protection Regulation (GDPR). For more information, please refer to our Privacy Policy.
11. Changes to the Terms and Conditions
The Provider reserves the right to change these T&C at any time with future effect. The Customer will be notified of any changes in text form (e.g., via email). Changes are considered accepted unless the Customer objects within 30 days of receiving the notification.
12. Applicable Law and Jurisdiction
The laws of the Federal Republic of Germany shall apply. The exclusive place of jurisdiction for all disputes arising from or in connection with these T&C is the location of the Provider, provided the Customer is a merchant or a legal entity under public law.
13. Final Provisions
Should any provision of these T&C be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision will be replaced by the applicable legal regulation.
